Teva’s interim legal chief sells 68.7% of holding after option exercise (NYSE: TEVA)

What happened

Teva Pharmaceutical Industries Ltd (NYSE: TEVA) interim chief legal officer Dov Bergwerk sold 26,260 ordinary shares on Nov. 4. The sale, at $41.72 a share, brought in about $1.10 million and left him with 11,943 shares held directly.

By OptimistFi's calculation, the shares sold were 68.7% of his holding before the trade. That is a large share, but the filing says the shares came from stock options exercised the same day.

He exercised two lots of options. One covered 17,505 shares at $34.70 and was due to expire March 3, 2027. The other covered 8,755 shares at $28.98 and was due to expire May 24, 2027. He signed the Form 4 on Nov. 6.

Why it matters

The filing ties the sale to option exercises, not to shares bought in the market. Both grants date to 2017 and had fully vested by May 24, 2021. With both lots exercised in full, no options from those two grants remain.

The March 3, 2017 grant vested in four steps, with 4,376 shares on March 3 of 2018, 2019 and 2020 and 4,377 on March 3, 2021. The May 24, 2017 grant vested the same way, with 2,188 shares in each of the first three years and 2,191 in 2021.

That is the strongest reason not to read the sale as a warning. A same-day exercise and sale can be a way to cash in pay, not a view of Teva's business. It is also one officer's personal trade.

OptimistFi has argued that Teva turns generics scale and low-cost manufacturing into cash and margin. That cash funds its Pivot to Growth into innovative and biosimilar products. One officer's option sale does not bear on that argument, so the case is unchanged.

What's next

Teva's next quarterly report is the next test of the case. Stronger cash and margin from generics, alongside growth in innovative and biosimilar revenue, would support the Pivot to Growth argument. Weaker cash generation would undercut it.
