What happened
Mondelez International, Inc. (NASDAQ: MDLZ) CEO Dirk Van de Put sold 129,285 shares on Nov. 2, about $8.54 million in total.
Van de Put, who is also a director, acquired the shares by exercising stock options the same day. The options give the right to buy Class A common stock at a fixed price, which was $43.51 a share here. The sale was made at a weighted average of $66.04, with individual prices from $66.00 to $66.27.
Rule 10b5-1 plans let insiders schedule trades in advance. This sale ran under one that Van de Put adopted on May 15, and it left the CEO with 1,326,488 shares.
An amended Form 4 dated Nov. 6 added the option exercise, which the original Nov. 3 filing inadvertently omitted.

Why it matters
The shares sold were 8.9% of the 1,455,773 held just before the sale, by OptimistFi's calculation, so the CEO keeps most of the position.
The sale equals the number of shares acquired through the options. By OptimistFi's arithmetic, the holding after the sale matches the holding before the exercise, so the trade turned options into cash without cutting shares already owned.
The sale price was $22.53 above the exercise price. The options had been fully exercisable since Feb. 22, 2021, and expire Feb. 22, 2028.
OptimistFi has argued that Mondelez's stock only works if management restores margins and EPS lost to recent cost shocks and volatility. A pre-arranged, option-funded sale does not touch that question, so the sale leaves the investment case unchanged.
The plan and the same-day option exercise make the trade look routine rather than a fresh negative signal.

What's next
Mondelez's next quarterly report is the next test. Margin and EPS recovery would support OptimistFi's view, while continued erosion would weaken it.
Investors can compare reported margins and EPS with the year-earlier quarter, since the case rests on recovering what recent cost shocks cost.
