Global Payments (NYSE: GPN) raises Worldpay synergy target to $650 million

What happened

Global Payments Inc. (NYSE: GPN) reported third-quarter results and raised its Worldpay synergy target to $650 million. The filing also kept 2026 guidance unchanged. For holders, the update ties stronger adjusted revenue to a bigger savings target and a steady outlook.

Why it matters

Adjusted net revenue rose 31.0% from $2.43 billion a year earlier, and normalized adjusted net revenue grew to more than 4% sequentially. That matters because the stock's case depends on whether recent weakness is temporary or a sign that acquiring economics are weakening.

Normalized adjusted operating margin widened 220 basis points to 42.5%, which shows the company still has operating leverage on its preferred measure. For the first nine months, adjusted net revenue was $9.20 billion and adjusted diluted EPS was $10.00. GAAP revenue was $9.60 billion, and GAAP diluted loss per share was $5.59.

What the adjustments cover

The gap between GAAP and adjusted results remains wide because the release says quarterly earnings adjustments added back $1.11 billion to operating income. Those add-backs include amortization of acquired intangibles, acquisition, integration and separation expenses, charges for business transformation and employee termination benefits.

Adjusted operating income was $1.35 billion. That figure depends on those add-backs. The year-ago quarter included a $343.9 million gain on business disposition, and GAAP operating income fell 68.2% from that quarter. On the nine-month basis, GAAP net income was a loss of $1.46 billion, which keeps the statutory results under pressure.

Balance sheet and cash

Cash and cash equivalents were $5.57 billion at Sept. 30, while long-term debt was $21.08 billion. Settlement processing assets were $2.81 billion and settlement processing obligations were $5.97 billion.

Net cash from operating activities was $212.9 million in the first nine months, down from $2.14 billion a year earlier. Investing cash flow was positive because sales of businesses produced $7.36 billion.

Financing cash flow used $9.37 billion. That included $20.41 billion of long-term debt repayments, $1.24 billion of share repurchases and $200.7 million in dividends.

Capital return and outlook

The board approved a $0.25 quarterly dividend payable Dec. 24 to shareholders of record on Dec. 10. That keeps cash returns aligned with the company's capital-allocation plan.

The company said it returned more than $1.4 billion to shareholders year-to-date and still expects more than $2 billion in 2026. Those figures matter because the filing links growth and integration work to cash returning to holders.

Global Payments kept its full-year outlook unchanged. It still expects about 4% to 5% constant-currency adjusted net revenue growth and adjusted EPS of $13.60 to $13.80. It also expects about 150 basis points of normalized adjusted operating margin expansion.
