Coty Shareholders Elect Full Board, Approve Incentive Plan Changes at Annual Meeting

Coty (NYSE:COTY) shareholders elected all nine director nominees and approved five other proposals, including changes to two stock incentive plans and the appointment of Deloitte & Touche LLP as independent auditor, according to preliminary results announced at the company’s 2026 annual meeting.

Chief Legal Officer and Secretary Kristin Blazewicz said the company would publicly report final voting results after the inspector of elections tabulates and verifies all votes. The meeting was held virtually.

Board and compensation votes

The nine elected directors are Patricia Capel, Joachim Creus, Frank Engelen, Carsten Fischer, Alia Gogi, Robert Kunze-Concewitz, Maria Carla Liuni, Stephanie Plaines and Markus Strobel. They will serve until the 2027 annual meeting or until their successors are elected and qualified.

Strobel is Coty’s executive chairman and interim chief executive officer. Fischer serves as lead independent director, Kunze-Concewitz chairs the remuneration and nomination committee, and Plaines chairs the audit and finance committee.

Blazewicz said shareholders also approved proposals to amend and restate the company’s Equity and Long-Term Incentive Plan and Stock Plan for Directors. The board had unanimously recommended votes in favor of both proposals.

Preliminary results also indicated approval of a nonbinding advisory proposal on compensation paid to named executive officers and a separate nonbinding proposal concerning the frequency of future advisory votes on executive compensation. The meeting announcement did not specify the frequency selected or provide vote totals.

Auditor and participation

Shareholders ratified the selection of Deloitte & Touche LLP to audit Coty’s consolidated financial statements for the fiscal year ending June 30, 2027, according to the preliminary count.

Blazewicz said shares represented by proxy accounted for approximately 82.66% of the voting power entitled to be voted at the meeting, establishing a quorum. That included approximately 82.2% of eligible Class A common shares and all eligible Series B preferred shares.

After adjourning the formal business portion, Blazewicz paused for shareholder questions and then said the question-and-answer session had concluded. No questions or answers were included in the transcript.
