Stockholders of Bowman Consulting Group (NASDAQ:BWMN) approved a merger agreement with Prive Parent Inc. and its wholly owned subsidiary, Prive Merger Sub Inc., according to preliminary voting results announced at a special meeting on November 4, 2026.
Chief Legal Officer and Corporate Secretary Elizabeth Abdoo said a separate proposal to adjourn the meeting, if necessary to solicit additional votes for the merger agreement, also received enough votes to pass. Because the merger agreement was approved, the adjournment proposal would not be acted upon, she said.
Final voting results will be reported in a current report on Form 8-K to be filed with the Securities and Exchange Commission within four business days after the meeting, Abdoo said. The report will also be available on the company’s website.
Merger vote
The agreement and plan of merger is dated August 10, 2026, and involves Bowman Consulting Group Limited, Prive Parent Inc. and Prive Merger Sub Inc., Abdoo said. The transcript of the meeting did not include financial terms of the agreement.
Approval of the merger proposal required an affirmative vote from holders of a majority of the outstanding common shares entitled to vote as of the October 1 record date. The board recommended that stockholders vote in favor of the proposal.
The adjournment proposal required approval from holders of a majority of the shares present virtually or represented by proxy at the meeting and entitled to vote on that matter. The board also recommended a vote in favor of that proposal.
Meeting proceedings
Board Chair James Laurito said Bowman had 16,591,912 common shares issued and outstanding and entitled to vote as of the record date. A majority of the voting power was present virtually or represented by proxy, establishing a quorum, he said.
The company appointed The Carideo Group as inspector of election. Abdoo said Bob Johnson of Carideo Group signed an oath to perform his duties with impartiality.
Abdoo said there were no stockholder questions submitted when the company addressed questions on the proposals. Laurito closed the polls at 9:37 a.m. Eastern time, after which the preliminary results were reported. The formal portion of the meeting concluded following the announcement.
