Applied Digital (NASDAQ:APLD) stockholders elected all six of the company’s director nominees, ratified its auditor appointment for fiscal 2027, approved executive compensation on an advisory basis and authorized a potential meeting adjournment, according to preliminary results announced at the company’s 2026 annual meeting.
Wes Cummins, Applied Digital’s chairman and chief executive officer, chaired the virtual meeting and said the company had received no advance stockholder notices for additional business. As a result, voting was limited to the proposals included in the company’s proxy statement.
The company set Sept. 8, 2026, as the record date for stockholders eligible to vote at the meeting. Cummins said a majority of the company’s issued and outstanding shares entitled to vote were represented, establishing a quorum.
Board Members Elected
Stockholders elected each of the six nominees to the board of directors for terms ending at the next annual meeting. The elected directors were:
- Wes Cummins
- Ella Benson
- Chuck Hastings
- Rachel Lee
- Douglas Miller
- Richard Nottenburg
The board had recommended that stockholders vote in favor of all six nominees.
Auditor and Executive Pay Proposals Approved
Stockholders also ratified the appointment of CBIZ CPAs P.C. as Applied Digital’s independent registered public accounting firm for fiscal year 2027.
In addition, investors approved, on an advisory basis, the compensation of the company’s named executive officers. The advisory vote is commonly referred to as a “say-on-pay” proposal.
Stockholders further approved a proposal authorizing the adjournment of the annual meeting if necessary in connection with obtaining sufficient votes for one or more of the other proposals.
Final Results to Be Filed With SEC
Mark Chavez, Applied Digital’s general counsel and chief compliance officer, said the results announced during the meeting were preliminary and remain subject to final certification by the inspector of elections.
The company said it expects to report the final voting results in a Form 8-K filing with the Securities and Exchange Commission within four business days of the meeting.
No questions were submitted by stockholders during the meeting’s question-and-answer period. Cummins then declared the polls closed, and the meeting was adjourned following the announcement of the preliminary results.
