What happened
Kimberly-Clark Corporation (NASDAQ: KMB) extended its offer to swap Kenvue Inc. bonds for new Kimberly-Clark notes. The new deadline is Nov. 2. The offers cover any and all outstanding Kenvue notes, in exchange for up to $7 billion of new Kimberly-Clark notes.
The offers were due to expire on Oct. 27. They now run to 5:00 p.m. New York City time on Nov. 2, unless extended again. All other terms are unchanged, and settlement is expected promptly after expiration.
Holders had validly tendered $6.37 billion of Kenvue notes across seven series as of 5:00 p.m. on Oct. 27. Participation ranged from 73.93% of the 5.050% notes due 2028 to 98.54% of the 5.050% notes due 2053.
The extension also amends the Sept. 28 offering memorandum. It now includes Kenvue's unaudited financial statements for the three and nine months ended Sept. 27, 2026 and Sept. 28, 2025. Those statements will appear in Kenvue's quarterly report on Form 10-Q.

Why it matters
OptimistFi's calculation shows holders tendered 91.1% of the Kenvue principal outstanding across the seven series. Most bondholders have already chosen to take Kimberly-Clark notes. Participation tops 96% in every series due 2043 or later.
OptimistFi has argued that Kimberly-Clark's upside depends on managing heavy balance-sheet leverage. A swap that places new Kimberly-Clark notes with Kenvue bondholders bears on that question, so the direction is mixed.
The extension itself settles nothing. The offers depend on Kimberly-Clark completing its pending Kenvue acquisition, a condition it cannot waive. Holders gave the consents needed to amend the Kenvue indenture on Oct. 9. The amendments take effect only when the offers settle.

What's next
The next test is Nov. 2, when the offers expire unless Kimberly-Clark extends them again. Settlement is expected promptly afterward. The swap can close only if the Kenvue acquisition is completed.
Watch Kenvue's Form 10-Q for the quarter ended Sept. 27 next. The offering memorandum now includes its financial statements.
