What Must ServiceNow, Inc. (NYSE: NOW) Prove in Q3?

What happened

ServiceNow, Inc. (NYSE: NOW) will report third-quarter results after the October 28 market close.

The direct test is $3.9775 billion of subscription revenue at the guidance midpoint, equal to 2.6% sequential growth. Investors also need cRPO growth near 20% and evidence that AI demand is becoming durable contracted revenue.

Why it matters

ServiceNow, Inc. (NYSE: NOW) reported $3.877 billion of Q2 subscription revenue. Dividing the Q3 midpoint by that figure and subtracting one produces 2.5922% sequential growth. The quarter also contains a timing complication because some U.S. federal on-premises revenue moved from Q3 into Q2.

The backlog signal is more demanding. Q2 current remaining performance obligations grew 21.5% in constant currency. Q3 guidance calls for 20%, a 1.5 percentage-point slowdown. A beat driven only by shifted federal revenue would not answer the durability question.

The subscription midpoint is $100.5 million above Q2. That increase is substantial in dollars, yet modest relative to a nearly $4 billion quarterly base. The mix of new logos, expansion, and timing will matter.

The growth base remains strong. Total Q2 revenue increased 24%, AI products crossed $1 billion of annual contract value, and the company closed 123 net-new deals worth more than $1 million. Customers above $5 million of annual contract value increased about 23%.

The strongest counterargument is margin quality. Q3 non-GAAP operating-margin guidance is 31%, but Q2 GAAP operating margin was only 4% against 29.5% non-GAAP. Investors need the reconciliation, including stock compensation and acquisition costs, not only the adjusted target.

What's next

The October 28 report should be judged on subscription revenue, cRPO, AI contract value, large-deal growth, federal timing, GAAP margin, and free cash flow. Management's full-year subscription midpoint of $15.770 billion provides another cross-check.

Guidance is forward-looking, and exact midpoints are analytical hurdles rather than forecasts. The company has not disclosed enough AI revenue detail to prove how much of current growth is incremental.
