Vinci Compass Investments (NASDAQ:VINP) said it plans to launch Vinci Permanent Capital Solutions, or VPCS, through the acquisition of AustralRe, a Latin American reinsurance platform that Vinci helped found in 2011.
The transaction is expected to close in the first quarter of 2027, subject to regulatory, antitrust and other customary approvals. Vinci Compass CEO Alessandro Horta said the acquisition is intended to provide the company with a permanent source of capital that may support general-partner commitments, seed proprietary fundraising efforts and expand the firm’s alternatives platform.
“Vinci Compass will be the first player in this industry to have access to a growing source of permanent capital,” Horta said, describing the structure as a differentiator for the Latin American alternatives market.
AustralRe Platform and Operating Profile
AustralRe operates in 16 Latin American countries, with offices in Rio de Janeiro, São Paulo and Bogotá. For the 12 months ended June 2026, it generated BRL 3 billion in gross written premiums and held BRL 1.8 billion in cash and investments, according to the presentation.
Bruno Freire, AustralRe’s CEO, said the company’s largest line of business is Brazilian property insurance, accounting for about 30% of gross written premiums. Property and casualty business outside Brazil represented 20%, while life accounted for 13%. Brazil comprises 77% of the company’s book, with Colombia, Argentina and Mexico its most relevant markets outside the country.
AustralRe’s market share among local Brazilian reinsurers rose to 16% in 2026 from 6% in 2018, Freire said. The company reported BRL 93 million in net income for the trailing 12 months through the second quarter of 2026, compared with BRL 75 million in 2024, while underwriting profit reached BRL 41 million. Its average return on equity was around 20% annually over the past three years.
Freire said AustralRe’s cash and investment balance was approximately 3.5 times equity. He also said the company has largely invested its portfolio in federal bonds and has limited exposure to alternative investments.
Permanent-Capital Strategy
Under the planned structure, AustralRe will become a client of Vinci Compass and invest in the same funds and structures used by the asset manager’s limited partners. Horta said AustralRe’s underwriting operations have historically maintained a combined ratio below 100%, creating investable float accumulated without operating costs.
Vinci said this capital would be non-redeemable and could support GP commitments, subject to AustralRe’s investment policy, solvency and liquidity requirements, and insurance regulations. Bruno Zaremba, Vinci Compass’ president of finance and operations, said the firm’s average GP commitment has represented about 7% to 8% of total fund capital, meaning each Brazilian real of long-term balance-sheet capital can potentially help unlock roughly BRL 13 of third-party fee-paying limited-partner capital.
The company aims to reduce that GP-commitment ratio toward the mid-single digits over time, which Zaremba said would increase the capital’s leverage in supporting growth of the asset-management business.
AustralRe expects to gain access to Vinci’s alternative investment strategies, while maintaining its regulatory reserve limits and conservative asset-liability-management framework. Freire said any asset reallocation would be executed within Brazilian insurance regulator SUSEP’s requirements and with the goal of protecting AustralRe’s brAAA local rating and A- global rating from AM Best.
Transaction Terms and Reporting Changes
Vinci Compass said it will acquire AustralRe at a valuation of one times tangible book value, representing an estimated equity value of approximately BRL 336 million after pre-closing capital distributions and extraordinary dividends. The consideration is expected to include an estimated BRL 247 million in cash and 1.7 million newly issued Vinci Class A common shares. The final cash-and-stock mix will depend on elections by certain minority shareholders.
Zaremba said the transaction is expected to be immediately accretive, producing double-digit accretion to distributable earnings per share on a cash basis. He noted that pre-closing distributions are expected to total roughly BRL 150 million to BRL 200 million, while Vinci plans to contribute approximately BRL 900 million of equity to VPCS.
Following closing, Vinci plans to report VPCS separately from its asset-management operation. VPCS will include AustralRe, Vinci Retirement Solutions and results from Vinci’s GP commitments, including realized and unrealized investment gains. The asset-management business will continue to report fee-related earnings, performance-related earnings and distributable earnings.
Zaremba said the revised allocation is expected to improve the asset-management unit’s fee-related earnings margin by about 100 basis points. Vinci also said it intends to distribute at least 80% of post-tax fee-related earnings through quarterly dividends, consistent with its historical practice.
Governance and Continuity
Because AustralRe is managed by Vinci’s private-equity business, the company said the acquisition was negotiated, reviewed and approved by a fully independent committee of Vinci Compass’ board, supported by an independent fairness opinion from Kroll. All Austral shareholders, including Vinci-affiliated fund investors, IFC and Banco Genial, were offered the same valuation and the same election between cash and Vinci shares.
Horta, Zaremba, Gilberto Sayão and Paulo Fernando Oliveira elected to receive their consideration entirely in Vinci shares, according to the company.
AustralRe will continue to be led by Freire and its existing management team, with no planned changes to its underwriting platform, risk-management framework or client relationships. Freire said the company has more than 80 professionals, and its senior leadership has an average of 22 years of industry experience.
