What happened
The Kraft Heinz Company (NYSE: KHC) added Kelly Dilts and J. Michael (Mike) Schlotman to its board of directors, effective Nov. 4. Both come from retail and grocery finance, and the company calls them independent directors.
Dilts is chief financial officer of Nordstrom, Inc. Before that, she spent six years at Dollar General Corporation, most recently as executive vice president and chief financial officer. Schlotman spent more than 30 years at The Kroger Co., almost 20 of them as chief financial officer. He also served on the board of Kellanova before Mars, Incorporated acquired it in Dec. 2025.
The board made the appointments on Oct. 31, the 8-K says. Neither director was chosen under any deal or understanding with another person. The filing reports no transactions with the company that it must disclose under Item 404(a) of Regulation S-K. Both will be paid under the non-employee director program described in the proxy statement filed April 3.

Why it matters
Chairman John T. Cahill said the pair will add "deep expertise from increasingly important retail and customer channels." CEO Steve Cahillane said their experience leading scaled businesses through change will help the company "continue to build a more profitable Kraft Heinz."
OptimistFi has argued that Kraft Heinz's value rests on its brands and distribution producing strong operating cash flow, provided management restores pricing and mix and controls costs. The release describes Schlotman's Kroger work as focused on cost efficiency and analytics. It lists margin planning and analytics among Dilts' Dollar General duties. Those are the levers in that view.
A board refresh is a governance step, not operating evidence. Kraft Heinz had approximately $25 billion in net sales in 2025, and turning that base into higher operating profit still depends on management. The appointments leave OptimistFi's view mixed.

What's next
Kraft Heinz's next quarterly earnings release is the first test. Better pricing and mix, lower costs, wider margins or stronger operating cash flow would support OptimistFi's view. Flat results would leave the board change as a governance story only.
