MAA prices $350 million of notes to pay down revolver and paper (NYSE: MAA)

What happened

Mid-America Apartment Communities, Inc. (NYSE: MAA) priced a $350 million senior unsecured notes offering through its operating partnership, Mid-America Apartments, L.P. (MAALP), the company said in a Nov. 2 press release.

The notes carry a 5.350% interest rate and are due Dec. 15, 2031. They were priced at 99.584% of principal under an existing shelf registration statement. The offering is expected to close Nov. 12, subject to customary closing conditions.

MAALP intends to use net proceeds to repay amounts outstanding from time to time under its unsecured revolving credit facility and its unsecured commercial paper program. It also plans to use proceeds for general corporate purposes, which may include repaying other debt and acquiring, developing and redeveloping apartment communities.

Why it matters

OptimistFi has argued that MAA turns its scale into steady cash flow and dividend coverage. This deal tests the financing side of that view, because it shows MAALP can sell unsecured debt maturing in 2031 at a 5.350% rate.

In OptimistFi's calculation, the 99.584% pricing puts the notes 0.416 percentage points below face value. That gap is a small part of the cost of the borrowing, alongside the coupon.

The use of proceeds tempers the read. Money aimed mainly at the revolving credit facility and the commercial paper program replaces existing borrowings and does not by itself add occupancy or earnings. Any acquisition or development spending falls under the general corporate purposes language, which the company says only may include those uses.

The release lists repaying other debt and acquiring, developing and redeveloping apartment communities as possible general corporate uses, so the proceeds could reach the growth side of the case. The company has not tied the money to any specific property or project.

What's next

The offering is expected to close Nov. 12. A closing on schedule would let MAALP apply the proceeds to its revolver and commercial paper balances as intended, while a delay would leave the financing unfinished.
