What happened
Green Plains Inc. (NASDAQ: GPRE) agreed to sell 2026 clean fuel tax credits and will receive $140 million in cash in the fourth quarter.
That payment is for 45Z credits generated through June 30, 2026. The company announced the deal on Oct. 30. The purchase agreement is dated Oct. 29.
The agreement covers at least $250 million of 45Z credits expected from 2026 production. Buyers will purchase more credits up to $325 million in total, with an option for another $30 million, depending on generation and availability.
Green Plains said all of its operating facilities are expected to qualify under the program.

Why it matters
The deal turns a tax incentive into scheduled cash. By OptimistFi's calculation, the fourth-quarter payment equals 56.0% of the minimum credit amount. Credits from the third and fourth quarters are monetized in the first half of 2027, so the first payment is only part of the cash.
CEO Chris Osowski said the agreement "converts that value into meaningful, predictable cash flow" and shows the company can turn carbon intensity improvements into value. OptimistFi has argued that Green Plains' equity works if its plants become higher-margin biorefineries rather than commodity ethanol assets. Cash tied to carbon scores supports that view.
The company says the value rests on current carbon intensity scores and does not assume added low-carbon investment or future improvements. So the cash reflects the plants as they run today. The credits also depend on actual production volumes and regulatory requirements.
If buyers take less than the minimum, Green Plains owes a fee of $0.03 per dollar of the shortfall, the purchase agreement says.

What's next
Green Plains will transfer third- and fourth-quarter credits in the first half of 2027, after compliance reporting and closing conditions are met. The purchase agreement sets final funding no earlier than Jan. 29, 2027.
A final tally at or above the minimum would strengthen the case. A shortfall would trigger the fee.
