What happened
Intuitive Surgical Inc (NASDAQ: ISRG) director Gary S. Guthart reported a roughly $9.08 million sale from a trust on October 23. The transaction reduced that trust's share count by 1.6%.
The trust sold 20,095 shares and retained 1,204,530, according to the Form 4 filed October 26. Adding back the shares sold puts the pre-sale holding at 1,224,625.
The sale followed a Rule 10b5-1 trading plan, the filing says. Its size is easier to judge against the trust's remaining position than from the dollar proceeds alone.

Why it matters
The weighted average price was $451.6117, or about $451.61 per share. Multiplying that reported price by the share count gives approximately $9.08 million in gross proceeds, before taxes and transaction costs.
The shares sold in multiple transactions at prices between $444.04 and $458.10. The weighted average summarizes those executions, rather than identifying a price received on every share.
The ownership column matters here. The sold shares and remaining balance are reported as indirectly held by a trust, not as Guthart's direct common-stock position.
Two other trusts are listed separately, one for a daughter and one for a son, with 26,247 shares each. Those holdings are outside the denominator used for the 1.6% calculation.
The main trust retained about 98.4% of its pre-sale shares. That limits the scale of the reduction, but it does not explain Guthart's motives or predict the stock's direction.

What's next
The trading plan expires June 15, 2027. The filing does not supply a schedule of future sales, so that expiration date is not a promise of further transactions.
Later filings can show whether the trust's position declines further and whether those trades use the same plan. The relevant comparison starts with the 1,204,530 shares remaining after this sale.
A larger subsequent reduction would change the ownership picture. It would still need to be assessed separately from the company's operating results, which this Form 4 does not report.
