Lam Research (NASDAQ: LRCX) CEO Archer sells 2.8% of holding under a preset plan

What happened

Lam Research Corp (NASDAQ: LRCX) President and CEO Timothy Archer sold 31,400 shares on Oct. 23 at $227.02 each, about $7.13 million in total.

The shares came from employee stock options that Archer exercised the same day at $30.03 per share. The options had become fully exercisable in three installments ending March 2, 2023, and were due to expire on March 2, 2027. The exercise used up that grant.

The Form 4 says the sale was made under a Rule 10b5-1 trading plan that Archer adopted on Feb. 24. The form's plan box is checked to show the trade was intended to meet the affirmative defense conditions of Rule 10b5-1(c).

Archer held 1,075,966 shares directly after the sale, a count that includes shares subject to unvested restricted stock units. Archer's 401(k) account holds a further 48,025.72 shares and a spouse's 401(k) account holds 5,670.002.

Why it matters

OptimistFi has argued that Lam Research turns hard-to-replace chipmaking tools and a large installed base into recurring service revenue and pricing power. A sale under a preset plan, funded by an option exercise, does not touch that argument, so the sale leaves the case unchanged.

By OptimistFi's calculation, the shares sold were 2.8% of the holding Archer had just before the trade. The bulk of the position stayed in place, which limits how much the sale says about Archer's stake in the company.

The strongest caveat is against reading the sale as a signal at all. The plan was adopted in February, months before the trade, and the shares came from options exercised that day, so the timing traces to a preset arrangement.

What's next

Lam's next quarterly report is the next scheduled test of the service-revenue and pricing-power argument, with revenue from the installed base the figure to watch.

A further Form 4 from Archer would show whether the plan produces more sales or whether this was a single planned sale.
