Valaris Limited (NYSE: VAL) Sets December 1 Target for Transocean Deal

What happened

Valaris Limited (NYSE: VAL) says its combination with Transocean Ltd. (NYSE: RIG) could close on or about December 1, 2026, but only after both shareholder groups vote on November 24 and the Supreme Court of Bermuda considers the scheme on November 26. The dates create a seven-calendar-day scheduled span from the votes to the target close, not a guarantee that the deal will finish on time.

The all-stock agreement gives holders of each Valaris Limited (NYSE: VAL) share 15.235 shares of Transocean Ltd. (NYSE: RIG), subject to customary adjustments and cash instead of fractional shares. The companies signed the agreement on February 9 and filed the definitive joint proxy in October.

Why it matters

The new filing turns a broad closing expectation into a sequence investors can monitor. Measured from November 1, the November 24 votes occur after 23 elapsed calendar days and the December 1 target after 30. The difference is seven days. The November 26 court hearing falls two days after the votes, leaving five more days to the target close.

That compressed timetable matters because Valaris Limited (NYSE: VAL) shareholders are exchanging their company for a minority stake in a larger offshore-drilling operator. The proxy estimates existing shareholders of Transocean Ltd. (NYSE: RIG) will own about 53% of the combined company and existing shareholders of Valaris Limited (NYSE: VAL) about 47% on a fully diluted basis, assuming conversion of the specified exchangeable bonds.

The fixed 15.235-share exchange ratio also leaves the deal value exposed to the market price of Transocean Ltd. (NYSE: RIG) before closing. A faster process reduces the time for that value to move, but a scheduled date does not remove price, approval or integration risk.

What's next

The first observable test is approval at both November 24 meetings. If those votes pass, the next test is whether the Bermuda court sanctions the scheme on November 26. Valaris Limited (NYSE: VAL) says it expects the other closing conditions to be satisfied if the court grants the order, supporting the December 1 target.

The strongest counterargument is that every date remains conditional. Investors should watch for vote results, the court order, any amended timetable and the first combined-company disclosure on backlog, debt and integration costs. Those items will show whether a quick legal close becomes a better per-share business rather than merely a larger fleet.
