AutoNation (NYSE: AN) adds Goodyear CEO Mark Stewart to board

What happened

AutoNation, Inc. (NYSE: AN) appointed Mark Stewart to its board on October 13, 2026 and raised the board to ten directors. The board said Stewart qualifies as independent under the company's governance guidelines and NYSE listing standards.

Stewart will join the non-employee director compensation program and receive an annual board retainer of $50,000. For 2026, that retainer will be prorated based on time served during the year. He will also be eligible to receive expense reimbursement for meeting attendance and future equity awards under the AutoNation, Inc. 2024 Non-Employee Director Equity Plan.

AutoNation's release said Stewart has served as chief executive officer and president of The Goodyear Tire Rubber Company and as a director there since January 2024. Before Goodyear, he was chief operating officer of North America for Stellantis and a member of its Group Executive Council. The release said that role covered a business with more than 88,000 employees and over $90 billion in revenue.

It also listed senior roles at Amazon, ZF TRW Automotive, TRW and Tower Automotive. Through DRV PNK, AutoNation said it has raised and donated over $50 million for cancer-related causes.

Why it matters

OptimistFi's case is that AutoNation works if its national franchised-dealer scale keeps turning vehicle transactions into higher-margin service, parts, financing and repeat customer relationships while cash conversion recovers from the inventory cycle.

This filing is mixed for that thesis because it adds automotive leadership to the board, but the information is a board appointment, so any effect on margins or cash conversion is indirect.

What's next

Stewart's board retainer will be prorated based on time served during 2026. He is also eligible to receive future equity awards under the AutoNation, Inc. 2024 Non-Employee Director Equity Plan. Any award would deepen the economic link between the appointment and the company, while no award would leave the move mainly as a governance change.
