Why it matters
The filing also gave preliminary third-quarter 2026 results. Shipping revenues and other operating revenues were about $480 million to $490 million. Net income was about $340 million to $350 million.
That net income includes a gain of about $50 million on the sale of a 2012-built Suezmax. Blended spot earnings were about $68,000 per day. That compares with about $29,000 in the third quarter of 2025 and about $79,000 in the second quarter of 2026.
Total liquidity was about $965 million as of September 30, 2026. That included $455 million of cash and short-term investments and $510 million of undrawn revolving credit capacity.
International Seaways also said the Bruton transaction values Bruton at about $370 million. About 96% of the total consideration will be paid in INSW shares. The first-step exchange covers about 50.5% of Bruton's outstanding common shares.
OptimistFi's case is that International Seaways is a tanker-cycle cash machine rather than a secular compounder. This filing supports that view with a $370 million Bruton deal and preliminary earnings. But the profit estimate is preliminary, the sale gain is one-time, and the deal is not closed yet.

What's next
Bruton is expected to hold a special shareholder meeting on or about October 30, 2026. The first-step exchange is expected to settle on or about October 20, 2026.
International Seaways said its full third-quarter 2026 earnings release will come on November 5, 2026.
A timely vote and closing would keep the deal on track. A failed vote or missed condition would block it.
