Vir Biotechnology (NASDAQ: VIR) strikes Gilead pact worth up to $1.74 billion

What happened

Vir Biotechnology, Inc. (NASDAQ: VIR) entered a collaboration and license agreement and a stock purchase agreement with Gilead Sciences, Inc. on October 9, 2026. The companies will discover and engineer three novel PRO-XTEN dual-masked T-cell engager development candidates targeting selected solid tumor-associated antigens.

Gilead will have an exclusive license to develop and commercialize the novel TCEs. It will also handle later development, manufacturing and commercialization. Vir will do the discovery, design and optimization work under the collaboration. Under the stock purchase agreement, Gilead agreed to buy 1,765,486 shares of Vir common stock at $14.16 each for about $25 million, subject to customary closing conditions.

Why it matters

OptimistFi's case is that Vir needs partnerable or approvable assets before cash is used up, and this agreement adds outside validation and near-term capital. The deal gives Vir up to $135 million in total upfront and near-term preclinical milestone payments, including $90 million in upfront consideration.

Vir can also receive up to $1.74 billion in further development, regulatory and commercial milestones, plus tiered high single-digit to low double-digit royalties on net sales. OptimistFi calculates that the later milestone cap is about 12.9 times the up to $135 million upfront and near-term package. Most of the headline economics are potential rather than guaranteed.

The press release also says the transaction gives further external validation of Vir's discovery capabilities and the PRO-XTEN platform. The stock purchase still needs customary closing conditions.

What's next

Vir said the stock purchase agreement is subject to customary closing conditions. If it closes, the 1,765,486-share purchase will add about $25 million of equity capital and start the one-year standstill, voting and lockup periods. One year after the anticipated closing, Gilead will have a customary right to require Vir to register resale of the shares under certain circumstances.

The clearest next test is whether the three PRO-XTEN TCE candidates advance. That will show whether the collaboration can lead to assets, milestones and royalties. A completed closing would also strengthen the case by confirming the equity piece and the collaboration terms.
