Aflac (NYSE: AFL) owner sells 12,000 shares in preplanned trade

What happened

Aflac Inc. (NYSE: AFL) said Japan Post Holdings Co., Ltd., its 10% owner, sold 12,000 shares of common stock on 2026-10-07. The Form 4 breaks the trade into 11,960 shares at $112.80 and 40 shares at $113.58. Those trades totaled about $1.35 million.

After the sale, Japan Post Holdings held 50,382,140 shares. The filing was signed and filed on 2026-10-09. It says the trades were made under a Rule 10b5-1 trading plan. That makes this a small cut in a still very large stake.

Why it matters

OptimistFi's case is that Aflac creates durable value by selling sticky, employer-distributed supplemental accident and health insurance and managing an investment portfolio that funds benefits. This Form 4 does not change that view because it updates ownership, not the insurance business that supports steady dividends and capital return.

The 12,000-share sale was about 0.0% of the holding before the trade. Japan Post still held 50,382,140 shares afterward. That remaining position is large enough that the filing looks like a small adjustment, not a shift in conviction. The Rule 10b5-1 language is the main caveat because it points to a preset trade, not a new public view on Aflac.

The case also assumes recurring premiums can keep supporting capital returns even when top-line growth is slow.

What's next

Aflac's next quarterly report is the next scheduled test of that operating case. A report that shows the same premium flow and capital strength would support OptimistFi's thesis for investors. That thesis depends on predictable premiums and a strong capital base.

If the next report weakens those traits, it would matter more than this sale. The filing itself only updates the ownership picture. Until then, the trade mainly resets the baseline for Japan Post's stake and leaves the business case to the next earnings release. The share sale does not alter that test.
