
Atkore (NYSE:ATKR) stockholders approved the company’s proposed merger with Prysmian S.p.A. at a special meeting, clearing a key shareholder-vote milestone for the transaction.
At the virtual meeting, Daniel Kelly, Atkore’s vice president and general counsel, said the merger proposal, an advisory executive-compensation proposal and an adjournment proposal each received sufficient support to pass, according to preliminary voting results from the Inspector of Elections.
Shareholder Participation and Vote
Michael V. Schrock, chairman of Atkore’s board, said the company had a quorum to conduct business at the meeting. Kelly reported that holders of 33,773,062 shares of Atkore common stock were entitled to vote as of the Sept. 4, 2026, record date.
Stockholders representing 27,641,773 shares, or about 81.84% of shares entitled to vote, had submitted proxies and were represented at the meeting, according to the company.
Atkore’s board unanimously recommended that stockholders vote in favor of all three proposals:
- Adoption of the merger agreement with Prysmian and Trinity Merger Sub;
- An advisory, non-binding vote approving compensation that may be paid to Atkore’s named executive officers in connection with the merger; and
- Adjournment of the special meeting, if necessary, to solicit additional proxies should the merger proposal lack sufficient votes.
No Adjournment Planned
Because the merger proposal received the required support in the preliminary vote count, Atkore does not plan to adjourn the meeting to seek additional proxies, Kelly said.
The company characterized the vote totals as preliminary pending the final report from Broadridge Financial Solutions representative Katherine Smith, who served as Inspector of Elections. Atkore said it expects to disclose final voting results in a Form 8-K filing with the Securities and Exchange Commission within four business days.
Management Comments
Following the vote announcement, President and Chief Executive Officer Bill Waltz thanked shareholders for their support and said the meeting concluded the scheduled formal business.
“It has been an honor to serve as CEO for this company, and I’m excited for the next chapter of Atkore’s story,” Waltz said.
Schrock then adjourned the special meeting.
