BioNexus (NASDAQ: BGLC) signs Malaysia AI licence as closing stays pending

What happened

BioNexus Gene Lab Corp. (NASDAQ: BGLC) signed a definitive agreement with Ruanyun Edai Technology Inc. for an exclusive Malaysian healthcare licence to CogniAI. The company said it plans to build AI applications for Malaysian healthcare under the deal.

At closing, BGLC will issue 410,000 common shares for the stated $3.5 million licence consideration and another 150,000 common shares for 500,000 RYET ordinary shares. The licence runs for ten years from closing, with two five-year renewal options on at least six months' notice if BGLC is not in uncured material breach.

RYET gets a 10% royalty on defined technology receipts actually collected, with no minimum royalty or annual platform fee. BGLC would gain rights to host, adapt and integrate the platform, build and brand applications using it, and sublicense the technology during the term. Closing is subject to written technology acceptance, satisfactory due diligence, required corporate and regulatory approvals, and securities and exchange compliance.

Why it matters

The agreement gives BGLC a share-based route into AI without a cash payment or market-value guarantee. That keeps cash in the business, but the economics depend on closing, acceptance and customer receipts. The royalty only applies to collected technology receipts, so revenue depends on actual use.

OptimistFi's case is that BioNexus needs assets that can turn into gross profit before cash burn and dilution overwhelm shareholders. This filing adds another licensing path rather than operating revenue, and BGLC says public-sector work would still depend on government procurement.

About 73.2% of the 560,000-share package is tied to the $3.5 million licence consideration. The share package is large enough to matter, because the filing says 560,000 common shares would equal about 16.0% of the company's issued and outstanding common shares immediately after issuance.

The agreement also says exclusivity is subject to milestone, cure and termination provisions. BGLC has not been awarded any government contract.

What's next

RYET is required to deliver the technology by December 4, 2026, 60 days after signing, and BGLC will then carry out acceptance testing. Either non-defaulting party may terminate if closing has not occurred by March 31, 2027, unless extended.

If the technology is delivered and accepted on schedule, the deal moves closer to closing. If not, the agreement stays pending and the timetable allows termination. The company said it will begin discussions on offering CogniAI-based applications to government digitalization initiatives in parallel.
