US Foods (NYSE: USFD) enters $810 million term-loan amendment to refinance debt

What happened

US Foods, Inc. (NYSE: USFD) entered a Fourteenth Amendment dated October 2, 2026. It refinances $810 million of term-loan commitments. The financing is split between $359.04 million from Citibank, N.A. as the new term loan lender and $450.96 million from Cashless Term Lenders. The filing says the Extended B-2026 Term Loans will have the same terms as the Existing B-2021 Term Loans, except as modified by the amendment.

The filing also says the cash proceeds, along with cash on hand, will repay the Existing B-2021 Term Loans in full and prepay part of the Replacement B-2024 Term Loan. It says the Extended B-2026 Term Loan Commitments automatically and permanently drop to $0 when the loans fund.

Why it matters

The required $100 million prepayment is about 13.79% of the $725 million original aggregate principal amount of the Replacement B-2024 Term Commitments. So this is more than a simple rollover. It also cuts another tranche through a principal prepayment. The split also shows the refinancing was shared between a new lender and Cashless Term Lenders holding Existing B-2021 Term Loans.
