
LivePerson (NASDAQ:LPSN) adjourned its 2026 special meeting of stockholders until Sept. 2 after determining that it had not received enough votes to approve a merger proposal.
At the virtual meeting, Chief Financial and Operating Officer John Collins said that, immediately before the meeting, holders of 6,052,027 shares had voted on the merger proposal. About 97% of those shares were cast in favor of the proposal, he said.
Quorum Established
LivePerson said 12,332,427 shares were issued and outstanding and entitled to vote as of the July 6, 2026 record date. Holders of at least 33.3% of outstanding voting shares, present virtually or by proxy, were required to establish a quorum.
Collins said the preliminary report from Inspector of Elections Cheryl Niebeling showed that the quorum requirement had been met. Niebeling, of the Carideo Group, was appointed to examine and tabulate proxies and ballots for the meeting.
The company said stockholders of record were notified of the meeting by mail around July 9. A list of eligible stockholders was available through the virtual meeting website, according to Collins.
Stockholders Approve Adjournment
After no questions were raised regarding the adjournment proposal, a motion was made and seconded to approve it. The company subsequently closed the polls and announced that the Inspector of Elections had determined the adjournment proposal was approved.
Chief Executive Officer John Sabino said the meeting would reconvene virtually on Sept. 2 at 10:00 a.m. Eastern Time to permit the company to seek additional proxies for the merger proposal.
LivePerson said final voting results from the special meeting will be disclosed in a current report on Form 8-K within four business days of the meeting.
