What happened
Proofpoint agreed to buy Varonis Systems, Inc. (NASDAQ: VRNS) for $49.75 per share in cash. The transaction is valued at about $6.3 billion and is expected to close in the first half of 2027.
The offer carries a 52% premium to the June 22 closing price, before initial sale rumors. It is also 17% above the September 1 close, before additional media reports.
The board of Varonis Systems, Inc. (NASDAQ: VRNS) unanimously approved the agreement. Shareholders must still approve it, regulators must clear it, and both companies must satisfy customary closing conditions.

Why it matters
The cash price gives investors a clear value anchor. The disclosed transaction value equals 8.4 times trailing revenue and 53 times trailing free cash flow as of June 30.
Those multiples imply about $750 million of trailing revenue and $118.9 million of trailing free cash flow. The comparison needs care because the issuer uses enterprise value for revenue and market capitalization for free cash flow.
The premium rewards shareholders for the growth and strategic value of the data-security platform. It also shifts the investment case away from quarterly execution and toward the probability, timing and terms of closing.
Proofpoint says the combined company would serve more than 16,000 enterprises. That scale supports the strategic logic, but it does not establish customer retention, integration costs or cross-selling results.
The strongest counterargument is lost upside. Investors receive cash certainty, but they surrender any benefit if the combined platform grows faster than the price assumes. A failed deal could also remove the current price support.

What's next
Watch the proxy statement for the background, fairness analysis and termination terms. The shareholder vote and regulatory review will show whether the first-half 2027 timetable remains credible.
Until those steps clear, Varonis Systems, Inc. (NASDAQ: VRNS) is best judged as a deal-spread security with closing risk, rather than a pure standalone growth stock.
