Gauzy (NASDAQ: GAUZ) closes $7 million PIPE to fund court-approved settlement

Why it matters

OptimistFi's case is that Gauzy is an adoption-versus-runway story, with value tied to smart-glass demand scaling through its manufacturing base before financing pressure bites.

This filing strengthens that case by funding the settlement and resolving approximately $61 million of pre-petition liabilities.

The $7 million raise is about 11.5% of the liabilities the settlement resolves, so the deal looks like a balance-sheet fix more than a growth bet.

That matters to equity holders because the financing comes with a major reset in ownership, with the new investors positioned for about half of the fully diluted company.

Management says the settlement financing lets Gauzy turn to executing on its backlog across Architecture, Automotive, Aviation and Rail markets.

The caveat is that a $1.64 million slice remains conditional until the Lyon Commercial Court rules on Safety Tech SAS by November 13, 2026, and the matching shares will be cancelled if approval does not come through.

What's next

The next dated checkpoint is November 13, 2026, when the Lyon Commercial Court must approve the French continuation plan for Safety Tech SAS.

If the court does not approve the plan by then, the settlement trustees will return the $1.64 million conditional amount within five Business Days and cancel the corresponding ordinary shares.

Gauzy also agreed to file a resale registration statement with the SEC within 60 days after it files its Annual Report on Form 20-F for the year ended December 31, 2025.

The company also agreed to apply to list the ordinary shares issued in the offering on Nasdaq.

Approval would leave the settlement fully financed from day one, as the company said.
