SKK (SKK) completes $258.8 million Rantizo asset deal, renames itself

What happened

Why it matters

OptimistFi's case is that SKK works only if growth turns into contract margin, cash conversion and balance-sheet capacity. This filing changes the business into a Nasdaq-listed drone platform, so investors now have a new operating base to judge.

The $8 million stockholder payment is about 3.09% of the $258.8 million transaction value, so most of the consideration is in equity, not cash. The release says Rantizo owns about 87% of the issued and outstanding Class A ordinary shares after closing.

The $8 million cash consideration is payable only after certain post-closing conditions. The Buyer Capital Raise can also arrive up to five business days after closing. That leaves execution and liquidity as the main tests.

What's next

The combined company is expected to start trading on Nasdaq under RNTZ on Tuesday, Oct. 13, 2026. That is the next dated test of whether the closing and name change are in place on schedule.

The waiver agreement says the post-closing company may receive the Buyer Capital Raise proceeds no later than five business days after the closing date. It also says Rantizo will release the PIPE proceeds no later than five business days after the closing date if the Buyer Capital Raise is complete.

A timely market debut would support the case that the transaction is in place. A delay would weaken it.
