Why it matters
The 34,000 shares were 15.9% of Sahin's 214,209-share holding before the trade. That makes the sale a meaningful cut in his direct stake, even with the preset plan. Sahin still held 180,209 shares after the sale, and the filing also shows 39,218,111 ordinary shares held indirectly through Medine GmbH.
The two prices were close, which makes the total sale value easy to check. The June 3, 2026 plan date matters because it came before both sales and limits what investors can read into the trade itself. OptimistFi's case is that BioNTech needs its mRNA and immunotherapy platform to become a durable non-COVID oncology business before vaccine cash flows and R&D losses erode option value. This filing does not change that test.
The Rule 10b5-1 label is the main caveat because it makes the sale less useful as a signal of business conviction. On that read, the trade looks more like a planned trim in direct exposure than a fresh warning on the company.

The next Form 4 filing will show whether Sahin keeps selling under the June 3 plan. More sales would extend the pattern. No more trades would leave this as a single planned cut in his direct stake.
The June 3 date shows the plan came first, so later filings will matter most if more trades follow. Repeat sales under the plan would turn this filing from a one-off into a longer trend. If the indirect Medine GmbH holding changes in later forms, investors will get a fuller view of Sahin's total beneficial ownership. That will matter more than the one-day price range alone.
